PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE OR OPERATING THE HARDWARE AND SOFTWARE PRODUCTS CONTAINED WITHIN.

Welcome to the online platforms of PLX Devices Inc. (“PLX,” “we,” “us,” or “our”). By accessing, browsing, creating an account, or purchasing hardware, firmware, or applications from this website, you acknowledge that you have read, understood, and explicitly agree to be bound by these Terms and Conditions and all applicable local, state, federal, and international laws. If you do not agree to these terms, you are strictly unauthorized to use this site or purchase our products.

1. Intellectual Property, Copyright, and Trademarks

  • Proprietary Content: The entire content included in this site, including but not limited to text, graphics, user interfaces, photographs, source code, data sheets, and software, is copyrighted as a collective work under the United States and international copyright laws and is the exclusive property of PLX Devices Inc. Copyright 2003–2026, PLX Devices Inc. ALL RIGHTS RESERVED.
  • Limited License: Permission is granted to electronically copy and print hard-copy portions of this site for the sole purpose of placing an order with PLX Devices Inc. or purchasing official PLX products. Any other use, including the reproduction, modification, distribution, transmission, display, or reverse-engineering of the components, firmware, or content of this site and its related applications, is strictly prohibited unless expressly authorized in writing by PLX Devices Inc.
  • Trademarks: All trademarks, service marks, trade names, logos, and brand assets (including but not limited to PLX Devices, xFoil, Apex Active Stabilization, and Legion Solar) are trademarks or registered trademarks of PLX Devices Inc.

2. Limited Factory Warranty Disclaimer

PLX Devices Inc. warrants its genuine products to be free from defects in materials and workmanship under normal, authorized use for the following periods from the original date of retail purchase:

  • xFoil Hydrofoil Platforms & Components: One (1) year.
  • Legion Solar Inverters: Five (5) years.
  • Photovoltaic Panels: Ten (10) years.
  • All Other PLX Devices Inc. Products: One (1) year, unless otherwise specified explicitly by PLX in writing.
  • Non-Transferability: This factory warranty extends exclusively to the original end-user retail purchaser and is strictly non-transferable. Warranty coverage is valid only for products purchased directly from PLX Devices Inc. or through an explicitly authorized retail partner. PLX reserves the right to deny warranty claims or technical support for items obtained via unauthorized third-party resellers, unauthorized online auctions, or peer-to-peer marketplaces.
  • Exclusions from Coverage: This warranty does not apply to aesthetic wear, or damage resulting from: misuse, operational abuse, structural alterations, neglect, accidents, collisions, submersion exceeding engineered thresholds, unauthorized repairs, improper assembly or storage, third-party component integration, environmental extremes, or acts of God.
  • Crowdfunding Deliverables: Products obtained through crowdfunding campaigns (including Kickstarter and Indiegogo) represent early production, prototype, or beta units. Unless explicitly stated otherwise in written campaign materials, crowdfunding units are provided strictly "AS-IS" to the maximum extent permitted by law, and may not be eligible for standard retail warranty or return policies.
  • Remedy and Logistics Limits: PLX’s sole obligation under this warranty is limited, at its sole discretion, to the repair or replacement of the defective component. Warranty fulfillment may include reasonable labor charges at our discretion depending on the technical circumstances. The customer assumes all shipping costs, duties, and risk of loss associated with transporting the product to and from our designated service center.

3. High-Risk Product Operational Disclaimers & Limitation of Liability

  • Marine, Electric Hydrofoil, and Aviation-Grade Products: Operating electric hydrofoils (including the xFoil platform) involves inherent risks of severe bodily injury, death, and property damage. The user assumes all risk and financial liability associated with the assembly, launch, flight, navigation, and operation of these products. It is the user's sole responsibility to comply with all local, state, and federal maritime laws, registration mandates, speed limits, and safety equipment requirements. PLX Devices Inc. is not liable for injuries or damages resulting from operator error, structural modifications, or failure to wear mandated personal flotation and safety gear.
  • Automotive and Sensor Products: PLX Devices Inc. does not guarantee automotive sensor or display functionality with any aftermarket vehicle, ECU, data logger, or third-party hardware utilizing output signals. Installation, mounting, and integration of PLX automotive products are executed at the user's own risk. Improper integration can cause catastrophic engine damage. Hardware must be mounted where it never obstructs the operator’s visibility or ability to maintain complete control of the vehicle.
  • LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLX DEVICES INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR DEATH, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOST PROFITS OR DATA) ARISING OUT OF THE USE, INABILITY TO USE, OR PERFORMANCE OF PLX HARDWARE, FIRMWARE, OR DIGITAL CONTENT, EVEN IF PLX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

4. Pricing, Purchasing, and Typographical Errors

In the event that a PLX Devices Inc. product is mistakenly listed at an incorrect price or with incorrect inventory availability, PLX Devices Inc. reserves the right to refuse or cancel any orders placed for the product listed incorrectly. PLX Devices Inc. reserves the right to refuse, modify, or cancel any such orders whether or not the transaction has been confirmed and your payment method charged. If your credit card has already been charged and the order is cancelled, PLX Devices Inc. shall promptly issue a credit to your original payment method in the amount of the incorrect charge.

5. Prohibited Site Actions & User Conduct

Harassment in any manner or form on our sites or applications, including via email, chat systems, product review fields, or social channels, by use of obscene, defamatory, or abusive language, is strictly prohibited. Impersonation of others, including a PLX Devices Inc. employee, host, or authorized representative, is illegal. You may not upload to, distribute, or publish through this site any content which is libelous, invasive of privacy or intellectual property rights, commercial solicitations, or which may constitute or encourage a criminal offense. PLX Devices Inc. acts as a passive conduit for user-generated content but reserves the absolute right to screen, block, or remove any material it deems unacceptable at its sole discretion.

6. Lithium-Ion Battery Safety, Storage, and Usage Restrictions

Certain PLX products, including electric hydrofoil platforms, utilize high-capacity Lithium-Ion battery cells. By purchasing these products, you explicitly acknowledge that Lithium-Ion batteries carry inherent risks of fire, explosion, and thermal runaway if mismanaged. You agree to strictly adhere to all official PLX documentation regarding charging parameters, voltage parameters, storage environments, and cell inspections. PLX Devices Inc. accepts zero liability for damages, structural fires, or personal injuries resulting from modified chargers, punctured battery enclosures, prolonged submersion beyond specified operational metrics, or failure to monitor charging cycles.

7. Proprietary Firmware and Anti-Reverse Engineering Mandate

The software embedded within PLX hardware (firmware), along with accompanying mobile applications, contains highly sensitive, trade-secret active stabilization algorithms and architectural protocols. You are granted a restrictive, non-exclusive, non-transferable internal license solely to execute the compiled firmware in its unmodified factory form on genuine PLX hardware. You are strictly prohibited from, and agree not to assist any third party in: (a) decompiling, disassembling, or reverse-engineering the hardware or firmware; (b) sniffing, intercepting, or cloning application communication protocols; or (c) bypassing any digital rights management or security handshakes implemented within the ecosystem.

8. United States Export Control Compliance

PLX Devices Inc. products, software, and technical telemetry data are subject to the export control laws and regulations of the United States, including the Export Administration Regulations (EAR). You represent and warrant that you are not located in, under the control of, or a national or resident of any embargoed country, or listed on the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Commerce Department's Denied Persons List. You agree not to export, re-export, or divert PLX hardware or software technologies to any prohibited destination or entity without obtaining explicit prior federal authorization.

9. Chargeback Abuse and Liquidated Damages Clause

By completing a purchase, you agree to resolve any billing discrepancies, transit delays, or warranty claims directly through our official Support Ticket System. Filing a fraudulent, inaccurate, or bad-faith payment dispute or chargeback with your issuing bank constitutes a material breach of these Terms. In the event of an unauthorized chargeback claim, PLX Devices Inc. reserves the right to report the dispute to international fraud databases, suspend connected firmware/app access, and recover liquidated damages up to $500.00 per incident plus all collection agency costs and reasonable attorneys' fees incurred while defending the transaction.

10. Indemnification

You agree to indemnify, defend, and hold harmless PLX Devices Inc., its officers, directors, employees, agents, licensors, and supply-chain partners from and against all losses, operational expenses, liabilities, damages, and costs—including reasonable attorneys' fees—resulting from any violation of these Terms and Conditions, negligent or wrongful conduct, or any authorized or unauthorized activity tied directly to your user account or use of our products.

11. Governing Law, Mandatory Arbitration, and Class Action Waiver

  • Governing Law: Your use of this site, our software, and our hardware platforms shall be governed in all respects by the laws of the State of California, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on Contracts for the International Sale of Goods.
  • Mandatory Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, or the breach, enforcement, interpretation, or validity thereof (including the purchase and use of PLX products), shall be determined exclusively by confidential, binding arbitration rather than a court of law. The arbitration shall be administered by JAMS or AAA in accordance with their commercial arbitration rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The venue for all arbitration proceedings shall be located in Santa Clara County, California.
  • Class Action Waiver: YOU AND PLX DEVICES INC. AGREE THAT ANY CLAIMS OR DISPUTES SHALL BE RESOLVED EXCLUSIVELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR PLX CAN BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
  • Statute of Limitations: Any cause of action or claim you may have with respect to PLX Devices Inc. products or services must be commenced within one (1) year after the underlying claim or cause of action arises, or be forever barred.

12. Third-Party Links

To optimize your user experience, PLX Devices Inc. may provide links to external websites operated by third parties. Even if the third party is an authorized affiliate, PLX Devices Inc. has zero operational control over these linked destinations, which maintain separate privacy and data collection policies completely independent of PLX. Accessing external links is done entirely at your own risk.
